Şirketimiz Yönetim Kurulu, 16.01.2026 tarihli toplantısında; Tera Varlık Kiralama A.Ş. aracılığıyla, Şirketimizin fon kullanıcısı olarak yer alacağı şekilde, Sermaye Piyasası Kurulu'nun (SPK) Kira Sertifikaları Tebliği (Seri: III-61.1) kapsamında 7.500.000.000 TL (yedi milyar beş yüz milyon Türk Lirası) tutara kadar yurt içinde, halka arz edilmeksizin, tahsisli olarak ve/veya nitelikli yatırımcılara yönelik kira sertifikaları ihraç edilmesine karar vermiştir.
İhraçlar, SPK onay tarihinden itibaren bir yıl içinde, bir yılı aşmayan vadelerde ve yönetim sözleşmesine dayalı olarak gerçekleştirilecektir. Her bir tertibe ilişkin vade, tutar, faiz oranı, satış yöntemi ve diğer koşullar ayrıca belirlenecek olup, ihraca ilişkin başvuruların yapılması, gerekli sözleşmelerin imzalanması ve tüm işlemlerin yürütülmesi için Şirket imza yetkilileri yetkilendirilmiştir.

Our Company's Board of Directors, at its meeting on January 16, 2026, has decided to issue lease certificates (sukuk) up to an amount of TL 7,500,000,000 (seven billion five hundred million Turkish Liras) within Turkey. The issuance will be conducted through Tera Varlık Kiralama A.Ş., with our Company acting as the fund user, in accordance with the Capital Markets Board's (CMB) Communiqué on Lease Certificates (Series: III-61.1).
The certificates will be issued without a public offering, via private placement and/or to qualified investors. The issuances will take place within one year from the date of CMB approval, with maturities not exceeding one year, and will be based on a management agreement. The maturity, amount, interest rate, sales method, and other conditions for each tranche will be determined separately. The Company's authorized signatories have been empowered to file the necessary applications, sign the required agreements, and execute all related transactions.
