Şirketimiz ile Tera Girişim Sermayesi Yatırım Ortaklığı A.Ş. arasında akdedilen sözleşme doğrultusunda; gayrimenkul geliştirme ve yatırım alanındaki büyüme stratejilerimizin halkalarından biri olarak, Tera Girişim Sermayesi Yatırım Ortaklığı A.Ş. portföyünde yer alan Sözınv Danışmanlık Anonim Şirketi'nin sermayesini temsil eden payların %100'ünün devralınması hususunda taraflar arasında mutabakata varılmıştır.
Söz konusu satın alma işleminin bedeli, Sözınv Danışmanlık Anonim Şirketi'nin birim pay bedelinin tespitine ilişkin gerçekleştirilecek değerleme raporu üzerinden belirlenecektir.
Sözınv Danışmanlık Anonim Şirketi mevcut durumda inşaatı İstanbul, Beykoz'da devam etmekte olan "TERA ORMAN", "TERA GARDEN" ve "TERA ADEN" projelerini geliştirmekte olup projeler kapsamında değeri toplam 150 milyon ABD Doları olması beklenen toplam 99 adet villa inşaat edilecektir. Projeler, 7 ayrı parselde 34.988,67 m² arsa alanını kapsamakta olup toplam 25.170 m2 satış alanına sahiptir.
Projeler arsa (kat) payı karşılığı inşaat modeli ile geliştirilmektedir. Arsa sahipleri ile akdedilmiş sözleşme kapsamında proje geliştirme ve inşaat maliyetleri Sözınv Danışmanlık Anonim Şirketi tarafından karşılanacak olup işbu kapsamda inşaat edilecek villaların mülkiyetinin yarısı Sözınv Danışmanlık Anonim Şirketi'ne ait olacaktır.
Şirketimiz, bu satın alma işlemiyle gayrimenkul geliştirme alanındaki konumunu güçlendirmeyi hedeflerken, büyüme stratejimiz doğrultusunda sektördeki nitelikli ve katma değer yaratacak yeni proje fırsatlarını da değerlendirmeye devam edecektir.

Pursuant to the agreement executed between our Company and Tera Venture Capital Investment Trust Inc., the parties have reached a mutual understanding regarding the acquisition of 100% of the shares representing the share capital of Sözınv Danışmanlık Anonim Şirketi, which is included in the portfolio of Tera Venture Capital Investment Trust Inc., as one of the key pillars of our growth strategy in the field of real estate development and investment.
The consideration for the said acquisition will be determined based on a valuation report to be prepared for the purpose of determining the per-share value of Sözınv Danışmanlık Anonim Şirketi.
Sözınv Danışmanlık Anonim Şirketi is currently developing the "TERA ORMAN," "TERA GARDEN," and "TERA ADEN" projects, the construction of which is ongoing in Beykoz, Istanbul. Within the scope of these projects, a total of 99 villas are planned to be constructed, with an expected total project value of approximately USD 150 million. The projects cover a total land area of 34,988.67 square meters across seven separate parcels and comprise a total saleable area of 25,170 square meters.
The projects are being developed under a revenue-sharing construction model in exchange for land shares. Pursuant to the agreements executed with the landowners, all project development and construction costs will be borne by Sözınv Danışmanlık Anonim Şirketi, and under this structure, 50% of the ownership of the villas to be constructed will belong to Sözınv Danışmanlık Anonim Şirketi.
Through this acquisition, our Company aims to further strengthen its position in the real estate development sector and, in line with its growth strategy, will continue to evaluate qualified and value-creating project opportunities within the industry.
